Terms and Conditions

These Terms and Conditions ("Terms") are a legally binding agreement between you and HoneyBee Innovations LLC ("HoneyBee," "we," "us") about your use of the HoneyBee website, HoneyBee Match, HoneyBee Events, and related services (the "Services"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

  • Customers: if you are a matchmaker, event host, or other business that subscribes to HoneyBee (a "Customer"), or one of its staff users, Part A and Part B apply to you.
  • End Users: if you are a client of a matchmaker, a single who completes an intake form or dating profile, or an event attendee (an "End User"), Part A and Part C apply to you.

In these Terms, a "Provider" is the Customer whose matchmaking or event services an End User uses through HoneyBee. Where a provision in Part B or Part C conflicts with Part A, the provision in Part B or Part C controls for the people it applies to.

Part A: General Terms (applies to everyone)

A1. Who we are

HoneyBee Innovations LLC is a limited liability company organized in Wyoming, United States, with its mailing address at 11133 Shady Trail PMB 133, Dallas, TX 75229. HoneyBee provides software for the dating industry: HoneyBee Match, a CRM for professional matchmakers, and HoneyBee Events, a platform for running speed dating and singles events.

A2. Eligibility

You must be at least 18 years old to use the Services. By using them, you confirm that you are 18 or older and that the information you provide is accurate.

A3. Acceptable use

You agree not to:

  • impersonate anyone or give false information about yourself;
  • harass, threaten, or harm anyone, including HoneyBee staff, Customers, or End Users;
  • upload content that is unlawful, infringes anyone's rights, or involves anyone under 18;
  • access other people's accounts or information without permission;
  • scrape, data-mine, or copy the Services by automated means without our written permission;
  • upload viruses or other harmful code, or interfere with the security or operation of the Services;
  • reverse engineer the Services, except as the law permits; or
  • use the Services to build or support a competing product.

A4. Intellectual property

We own or license the Services, including their software, design, text, and the HoneyBee name and logos. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. We reserve all rights not expressly granted.

If you send us feedback or suggestions, we may use them without restriction or compensation to you.

A5. Privacy

Our Privacy Policy explains how HoneyBee handles personal data it collects for its own purposes, such as website visits and Customer accounts. When HoneyBee stores information about End Users, it does so on behalf of their Provider, under Part B. We do not sell personal data, use it for our own marketing, or use it to train artificial intelligence models.

A6. Text messages and email

The Services can send text messages and emails, such as account notifications, event reminders, match updates, and two-factor authentication codes, either from HoneyBee or from a Customer through HoneyBee. Message frequency varies, and message and data rates may apply. Reply STOP to any text to opt out, or HELP for help, or contact info@withhoneybee.com. Carriers are not liable for delayed or undelivered messages.

A7. Suspension

We may suspend or end access for anyone who breaks these Terms, puts other people at risk, or uses the Services unlawfully. Where reasonable, we will tell you why. If we end your access, you may not create a new account without our permission.

A8. Changes to the Services and these Terms

We may improve, change, or discontinue features of the Services. We may also update these Terms and will change the date at the top when we do. We will email Customer account owners at least 30 days before any material change takes effect, and we will notify End Users of material changes through their Provider or by email where we have their address. Continuing to use the Services after a change takes effect means you accept it.

A9. Disclaimers

The Services are provided "as is" and "as available." We work to keep them secure, accurate, and available, but to the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not promise that the Services will be uninterrupted or error-free.

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law. If you live in a country whose consumer protection laws give you rights these Terms cannot override, those rights still apply to you.

A10. Electronic communications

You agree that agreements, notices, and other communications we provide electronically satisfy any legal requirement that they be in writing, and that you may accept these Terms electronically.

A11. Governing law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. Disputes are resolved as described in Part B (for Customers) or Part C (for End Users).

A12. Miscellaneous

These Terms, together with any documents they incorporate, are the entire agreement between you and HoneyBee about the Services. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. These Terms create no partnership, employment, or agency relationship.

Part B: Customer Terms (applies only to Customers)

B1. Accounts and users

You are responsible for your account, for keeping login credentials secure, and for the activity of the staff users you invite. Tell us promptly at info@withhoneybee.com if you suspect unauthorized access.

B2. Subscriptions and billing

HoneyBee Match and HoneyBee Events subscriptions are billed monthly or annually, depending on your plan. Your subscription renews automatically for the same period until you cancel, and you authorize us to charge your payment method on each renewal. Payments are processed by Stripe and charged in US dollars, plus any applicable taxes.

You may cancel at any time by emailing info@withhoneybee.com or by managing your plan in the application. Cancellation takes effect at the end of your current billing period, and you keep access until then. Fees already paid are non-refundable.

We may change subscription prices with at least 30 days' email notice. New prices apply from your next renewal after the notice period.

B3. Free trials and free plans

We may offer free trials or free plans. We will tell you at signup whether a trial converts to a paid subscription and when. We may change or end free trials and free plans at any time.

B4. HoneyBee Events payments

When End Users buy tickets for your events, HoneyBee collects the payment through Stripe and pays out the ticket proceeds to you, less HoneyBee's processing fees as shown in your plan or at checkout. HoneyBee Match does not charge processing fees.

You are responsible for your events, including the event description, pricing, refund policy, and any taxes on your ticket sales. We process refunds that you approve or that card networks require, and we may deduct refunds, chargebacks, and related fees from your payouts or hold payouts while a dispute is open.

B5. Customer Data

"Customer Data" means all data, including personal data about your clients, event attendees, and staff, that you, your users, or your End Users submit to the Services. You retain all rights in Customer Data. We process Customer Data only to provide, maintain, secure, and support the Services for you and as you instruct. We do not sell Customer Data, use it for our own marketing, or use it to train artificial intelligence models. We back up Customer Data regularly, and our liability for any loss or corruption of Customer Data is subject to Section B12.

B6. Data Processing Agreement

Where your use of the Services involves personal data subject to the GDPR, UK GDPR, or similar laws, our Data Processing Agreement at withhoneybee.com/dpa forms part of these Terms and prevails over them where they conflict. The Services are hosted in the United States, and transfers of personal data from the European Economic Area, the United Kingdom, or Switzerland are governed by the Standard Contractual Clauses in that agreement.

B7. Your responsibilities for Customer Data

You are the controller of the personal data you collect about your clients and attendees, and you are responsible for:

  • having a lawful basis, and where required explicit consent, for that data, including sensitive information such as sexual orientation, religion, or health;
  • giving your clients and attendees the privacy notices the law requires, including your own privacy policy;
  • complying with laws that govern the messages you send through the Services, including the TCPA, CAN-SPAM, and EU and UK electronic marketing rules; and
  • directing End Users to these Terms where they use the Services.

B8. Artificial intelligence features

Some features use artificial intelligence to assist you. AI output may be inaccurate or incomplete, and you are responsible for reviewing it before relying on it or sharing it. We do not use Customer Data to train artificial intelligence models.

B9. Confidentiality

Each party will protect the other's non-public business information disclosed under these Terms with reasonable care, use it only to perform under these Terms, and disclose it only to personnel and service providers bound by similar obligations, or as required by law.

B10. Termination and data export

After your subscription ends or is terminated, you may export Customer Data for 30 days, after which we permanently delete it from our systems.

B11. Reviews and testimonials

If you post a review, testimonial, or other public content about HoneyBee, you grant us a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute it on the Services and in HoneyBee marketing, along with your business name. This license ends when you ask us to remove it, except for copies already distributed. This section does not apply to Customer Data.

B12. Limitation of liability for Customers

To the extent the law allows, neither HoneyBee nor its officers, employees, or agents will be liable to a Customer for any indirect, consequential, incidental, special, exemplary, or punitive damages, including lost profits, lost revenue, or loss of data. HoneyBee's total liability to a Customer for any claim relating to the Services is limited to the lesser of the amount the Customer paid HoneyBee in the six (6) months before the claim arose or US$500. This section applies to Customers only; Section C6 sets the limit for End Users.

B13. Indemnification

You will defend, indemnify, and hold HoneyBee harmless from third-party claims, including reasonable attorneys' fees, arising from your use of the Services, your Customer Data, your events or matchmaking services, your messages to End Users, or your breach of these Terms. We will notify you promptly of any such claim and may participate in its defense at our own expense.

B14. Dispute resolution for Customers

Before starting arbitration, the parties will try to resolve any dispute informally for at least 30 days after written notice. Any dispute that is not resolved will be finally resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association, held in Wyoming or by video. Either party may instead seek injunctive relief in court to protect its intellectual property or confidential information, in the state or federal courts located in Laramie County, Wyoming. Disputes must be brought individually, not as a class or representative action, and within one (1) year after the claim arose.

Part C: End User Terms (applies only to End Users)

C1. Your relationship with your Provider

Your matchmaking or event services come from your Provider, not from HoneyBee. Your agreement for those services, including how matches are made, what services include, and your Provider's refund policy, is between you and your Provider. HoneyBee provides the software your Provider uses.

C2. Your information

Your Provider decides what information to collect about you and how to use it, and your Provider's privacy policy explains this. HoneyBee stores and processes your information on your Provider's behalf, only to run the Services for them.

To access, correct, or delete your information, contact your Provider. If you contact us instead at info@withhoneybee.com, we will pass your request to your Provider promptly. If you are in the European Union, you can also reach our EU representative, Prighter, at Schellinggasse 3/10, 1010 Vienna, Austria.

C3. Content you submit

You own the photos, answers, and other content you submit. You give HoneyBee permission to store, process, and display that content only as needed to provide the Services to your Provider, and that permission ends when the content is deleted. By submitting photos, you confirm that they show you, that you have the right to share them, and that they do not include anyone else without their permission.

C4. Matches, events, and safety

HoneyBee does not make matches, screen or verify users, or run events; your Provider does. We are not responsible for the conduct of your Provider, your matches, or other attendees, online or in person. Please take sensible precautions when meeting anyone new.

C5. Event tickets and payments

When you buy a ticket for an event, HoneyBee collects your payment through Stripe on behalf of the event host and pays it out to them. Any processing fee is shown at checkout before you pay. Refunds follow the host's refund policy shown at checkout, and HoneyBee processes refunds the host approves. Questions about an event itself should go to the host.

C6. Limitation of liability for End Users

To the extent the law allows, HoneyBee is not liable to End Users for indirect or consequential losses, or for the actions of your Provider, your matches, or other attendees, and our total liability to you for any claim relating to the Services is limited to US$100. Section A9 explains the rights this does not affect.

C7. Dispute resolution for End Users

If you have a concern, email us at info@withhoneybee.com first, and we will try to resolve it within 30 days.

If you live in the United States and we cannot resolve a dispute informally, it will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be held by video or in the county where you live, and HoneyBee will pay any arbitration filing, administration, and arbitrator fees above what you would pay to file in court. Either of us may instead bring an individual claim in small claims court where you live. Disputes must be brought individually, not as a class or representative action.

You can opt out of arbitration by emailing info@withhoneybee.com within 30 days after you first accept these Terms, with your name and a statement that you opt out. If you opt out, disputes go to the state or federal courts in Laramie County, Wyoming, or to small claims court where you live.

If you live in the European Union or the United Kingdom, this arbitration section does not apply to you, and you may bring proceedings in the courts of your home country.
